Terms and Conditions

Any purchaser of the Mighty Jaxx NFT (i.e., the winner of the Auction and its assignees and successors thereafter, the “Purchaser”) hereby acknowledge and agree to the following terms and conditions upon purchasing the Mighty Jaxx NFT:

(1) The Purchaser shall obtain the ownership of the Mighty Jaxx NFT, but any copyright (including any moral rights attached thereto), registered or unregistered trademarks, image rights, designs or any other intellectual property right, and any registrations or pending applications thereof, of the Mighty Jaxx NFT shall not be transferred to the Purchaser and shall remain the sole and exclusive property of Mighty Jaxx International Pte Ltd (“Mighty Jaxx”).

(2) Pursuant to (1), the Purchaser shall have no right to use, reproduce or modify any of the intellectual property rights comprised in the Mighty Jaxx NFT. Accordingly, the Purchaser shall have no right to: (i) providing reproductions of the Mighty Jaxx NFT (such as its screenshots) to others beyond the scope of private use, or (ii) using them for commercial purposes (e.g., using them for merchandises such as bags, T-shirts, or smart phone cases, publishing them in books, or posting them on e-commerce sites or corporate websites). Any unauthorised use, reproduction or modifications to the Mighty Jaxx NFT shall fall under the infringement of the said intellectual property rights and shall thus be prohibited.

(3) Using the Mighty Jaxx NFT by modifying or editing any part of its image shall also fall under the infringement of the said intellectual property rights and shall thus be prohibited.

(4) It is permissible to use the reproductions of the Mighty Jaxx NFT in electronic games and other digital services provided by Mighty Jaxx and its business affiliates, in accordance with the relevant terms of service. (5) Mighty Jaxx shall in no event be liable for any damage or loss suffered by the Purchaser, its transferee or any other third party in connection with the purchase or sale of the Mighty Jaxx NFT arising from any cause whatsoever, including any direct, indirect, consequential, special, exemplary or punitive damage.

(6) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIGHTY JAXX DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF TITLE, NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE MIGHTY JAXX NFT.

(7) All disputes relating to the Mighty Jaxx NFT shall be governed by and construed in accordance with the laws of Singapore and any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore and the language of the arbitration shall be in English.
