The Territory referred to in this Agreement shall include the entire world. Author declares that he has created a new and inventive technical solution for electromagnetic coil, which exceeds prior art solutions in general characteristics. With a view to the sufficient competence of the Author in Physics and as a registered Patent Attorney, the Author undertakes the necessary search, calculations and tests and decides to perform the undisclosed Invention in the form of a not filed patent application to be transferred to Recipient.

THE NECESSARY KNOW-HOW INFORMATION AND PATENT CLAIMS FOR IMPLEMENTING THE INVENTION IS CONTAINED IN THE PROTECTED AREA OF THAT TOKEN VISIBLE ONLY FOR TOKEN OWNER.

The Author hereby undertakes to assign to the Recipient, all ownership rights in the Confidential Information pertaining to the Invention with regard to the product inclusive of all improvements/modifications effected to the said Confidential Information and inclusive those effected to the product and its constituent elements on the date of execution of this agreement.

In case you will decide to file a patent application the Author by this Agreement takes obligations to following:

1. To prepare and file a national or international patent (PCT) application in the name of the Recipient as an Applicant and a Patentee.
2. The Author is also obliged to fulfill all necessary information to the invented solution up to completion of the patent application if required by Recipient not later than in one month.
3. Therefore, the Author promises to offer to the Recipient for his consideration all further inventions which will be invented by him in this field according to additional agreement.

GOVERNING JURISDICTION Any dispute/difference arising from this Agreement shall be subject to the exclusive jurisdiction of the World Intellectual Property Organization Arbitration Rules by the World Intellectual Property Organization Arbitration and Mediation Center.
