Any purchaser of the DigThePix (“Artist”) NFT (i.e., the winner of the Auction and its assigns and successors thereafter, the “Purchaser”) shall acknowledge and agree to the following terms and conditions in purchasing the DigThePix work: (1) The Purchaser shall obtain the ownership of the DigThePix NFT, but any copyright, trademark right or any other intellectual property right of the DigThePix NFT shall not be transferred to the Purchaser and shall remain owned by Artist. (2) Accordingly, for instance, (i) providing the images (such as its screenshots) to others beyond the scope of private use, or (ii) using them for commercial purposes (e.g., using them for merchandises such as bags, T-shirts, or smart phone cases, publishing them in books, or posting them on e-commerce sites or corporate websites) shall fall under the infringement of the said intellectual property rights and shall thus be prohibited. (3) Using the DigThePix NFT by modifying or editing any part of its image shall also fall under the infringement of the said intellectual property rights and shall thus be prohibited. (4) If the Purchaser, its transferee or any other third party incurs any damage or loss in connection with the purchase or sale of the DigThePix NFT arising from any cause whatsoever, in no event shall Artist be liable for such damage or loss. (5) All matters relating to the purchase of the DigThePix NFT shall be governed by, construed, and enforced in accordance with the laws of the State of New York, as they are applied to agreements entered into and to be performed entirely within New York and without regard to conflict of law principles.
