The Cova Project Personal IP Licence – Visual material

Summary: This licence is a limited non-exclusive copyright licence to use, copy, and display a visual artwork solely for personal non-commercial purposes. The non-fungible token to which this licence pertains (NFT) represents conditional rights in relation to visual material (Artwork). When you acquire this NFT, you do not acquire the copyright in the Artwork, which remains with its creator. However, you acquire certain limited rights in relation to that Artwork, as set out in this document.

Terms of licence This NFT represents a limited non-exclusive copyright licence, while you own the NFT, to: (a) use, copy, and display the Artwork solely for personal non-commercial purposes; and (b) transfer the NFT between wallets you control or to another person, should you wish to do so. You cannot: (i) edit or modify the Artwork, or use the Artwork or NFT for any commercial purposes, without permission from the creator of the Artwork; (ii) attempt to register the Artwork as a trademark or assert ownership of any intellectual property rights in or to the Artwork; or (iii) use the Artwork in connection with images of hatred, violent or other unlawful behaviour. The above restrictions survive the expiration or termination of these licence terms.

Transfers Subject to any other relevant terms applicable to the NFT, any transfer of the NFT is subject to the following terms: (a) When you transfer this NFT, such transfer will be deemed effective as at the time and date of the relevant transaction being included in a block on the relevant distributed ledger, with the number of confirmations as are considered necessary under prevailing market practice for that transaction to be considered irreversible. (b) When you transfer this NFT to another person, you also assign all your rights, title and interest associated with this NFT to the owner of the wallet or address to which you transfer that NFT, including this copyright licence; and by doing so, you acknowledge that you will cease to have any such rights, title or interest, including such licence, with immediate effect. (c) If any rule of law (including any legislations, rule of common law, rule of equity or customary law) requires written notice to effect the transfer of the NFT, such notice is deemed given as an electronic record by inclusion of the relevant transaction on a block on the relevant distributed ledger as described in (a).

Metadata The terms of this IP licence are embedded in the metadata of the NFT.

Governing law The terms of this IP licence are governed by and are to be construed in accordance with the law of the State of New South Wales, Australia. To the extent the law permits, this IP licence prevails to the extent it is inconsistent with any laws or regulations.
