Let Me Out Productions is a service studio, privately organized as a professional resource collective. LMO was inspired by friendship, the need to sustain a creative community, and the need for economic longevity. In the early days of 2007-2012, LMO produced a few short films and documentaries while exploring industry mechanics on both coasts, specifically building a path towards platform independence and sustainability. Mr. Okearah sustained the brand from 2012-2021 as a support unit for larger production houses and as a digital media service boutique, producing videos, graphic design, and websites for a wide variety of businesses in Northern California. In early 2021, Mr. Okearah saw an opportunity to build his lifelong goal — creator equity — into the film and television production industry, in perpetuity.

Mr. Okearah registered with the State of California as the original and sole owner of the limited liability company and intellectual property concept defining Let Me Out Productions. His chosen enacted method of forming partnerships in this private endeavor is this Limited Deed of Partnership.

Mr. Okearah fractionalized his ownership to the Limited Liability Company and intellectual property concept defined as Let Me Out Productions into 500,000 equal parts of ownership. Each fraction of ownership, as defined by this Deed, is conditionally represented and defined by its unique non-fungible token. The rights assigned to each token and to token-holders who reach benchmarks of ownership are specifically defined by the terms of this Limited Deed of Partnership.

This Deed is the only document defining and assigning ownership in Let Me Out Productions, LLC.

Let Me Out Productions, LLC is a for-profit business, organized as a professional global resource collective, which develops and produces cinematic content for audiences to experience. The projects we develop may include, but are not limited to: productions of long-form narratives, productions of short-form narratives, productions of serialized narratives, productions of long-form documentary, productions of short-form documentary, productions of serialized documentary, experimental productions, animated productions, productions meant to be experienced through virtual reality, productions meant to be experienced in a theatrical setting, productions meant to be experienced with a digital community, productions meant to be experienced in augmented reality on one or multiple locations, and many other production-styles whether known now or hereafter created. Each audience experience we produce creates an asset we can offer to distribution partners to monetize.

These non-fungible tokens bear no governance or administration rights — they are the chosen infrastructure of Mr. Okearah’s collaboration with Let Me Out Productions, LLC to manage the platform's internal shared profit mechanism and to assign and certify partnerships in our foundation.

Definitions: Let Me Out Productions, LLC (“LMO”) is a for-profit business operating out of Sacramento, California. Let Me Out Productions, LLC reserves the right to change the location of operation at any time to best suit the future of the platform.

All material made, developed, conceived, first reduced to practice, fixed in any tangible medium of expression, or created independently by Let Me Out Productions, creative partners with a signed partnership agreement, or any subsequent related properties is defined as “intellectual property of Let Me Out Productions, LLC.”

Let Me Out Productions, LLC was registered with the State of California as the sole and exclusive property of Kim David, d.b.a Kimani Okearah on April 13th, of the year 2021. Mr. Okearah operates in life and business under the only name given to him at birth, which is ‘Kimani Okearah.’

Mr. Okearah fractionalized his sole and exclusive property ownership of Let Me Out Productions, LLC into 500,000 equal parts of certified ownership. Each fraction of 0.0002% Certified Ownership of Let Me Out Productions is assigned to or is scheduled to be assigned to a non-fungible token minted in a Let Me Out Productions collection on our OpenSea marketplace. Each token carries assignment from this Limited Deed of Partnership of exactly 0.0002% non-governance certified ownership of Let Me Out Productions, LLC.

These tokens operate as a platform utility for rights management and ownership certification. They are called “Company Ownership Tokens” within our platform.
